1. Agreement to Terms

By accessing or using our website (https://www.axentratech.com) and engaging with our custom software development services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you are prohibited from using our website and services.

These terms constitute a binding legal agreement between you (whether personally or on behalf of an entity) and Axentra Tech, a custom software engineering company operating in Colombo, Sri Lanka.

2. Scope of Services

Axentra Tech provides custom software, web application development, mobile application development, enterprise software integrations, and Robotic Process Automation (RPA) consulting. All individual software projects, delivery timelines, payment schedules, and support levels are governed by a separate, signed Software Development Agreement (SDA) or Service Level Agreement (SLA). In the event of any conflict between these Terms of Service and an active signed SDA, the provisions of the SDA shall take precedence.

3. Intellectual Property Rights

A. Website Content

Unless otherwise indicated, our website, including its source code, designs, graphics, styling, text, and logos (collectively, the "Content") is the property of Axentra Tech and is protected by copyright and intellectual property laws of Sri Lanka and international treaties.

B. Software Development Projects

For custom development projects, intellectual property ownership transfers to the client upon full and final payment, as detailed in the signed SDA. Axentra Tech retains ownership of all pre-existing libraries, modular templates, background frameworks, and open-source tools utilized during development.

4. User Conduct & Acceptable Use

When interacting with our website or forms, you agree to:

  • Provide accurate, complete, and current information when submitting inquiry forms.
  • Not use the website or services for any unlawful, fraudulent, or malicious purpose.
  • Not attempt to breach, bypass, or probe our website security, server integrations, or contact forms (including brute-forcing, spamming, or script injection).
  • Not introduce viruses, trojans, worms, or other malicious materials that target our website visitors or infrastructure.

5. Payments and Billing

Inquiries and project evaluations are free of charge. For development projects, payments are invoiced on a milestone basis (typically an advance payment followed by milestone deliveries and final deployment approvals) as specified in your project agreement. All invoices are denominated in Sri Lankan Rupees (LKR) or United States Dollars (USD), and payments must be settled within the timeframe indicated on the invoice.

6. Limitation of Liability

To the maximum extent permitted by Sri Lankan law, Axentra Tech, its directors, employees, or tech leads shall not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages (including loss of profits, data, or business goodwill) arising from your use of our website or services, even if we have been advised of the possibility of such damages.

For contracted software projects, our total liability under any circumstances shall be limited to the total amount paid by the client under the corresponding project agreement.

7. Indemnification

You agree to defend, indemnify, and hold Axentra Tech harmless from and against any loss, damage, liability, claim, or demand (including reasonable legal fees) made by any third party due to or arising out of your breach of these Terms of Service or your unauthorized use of our website or services.

8. Governing Law & Dispute Resolution

These Terms of Service and your use of our website and services are governed by and construed in accordance with the laws of the **Democratic Socialist Republic of Sri Lanka**.

Any dispute, controversy, or claim arising out of or relating to these terms, including their validity or termination, shall be resolved through amicable negotiation. If a resolution cannot be reached within thirty (30) days, the dispute shall be referred to and finally resolved by the competent courts of **Colombo, Sri Lanka**.

9. Changes to Terms

We reserve the right to revise or modify these Terms of Service at any time. Any changes will be posted on this page with an updated "Last Updated" date. Your continued use of the website following the posting of changes constitutes your acceptance of the revised terms.
